NW Nannies LLC — Employer Placement Agreement
1. Employer Engagement of NW Nannies LLC
Employer hereby engages NW Nannies LLC to find candidates for long-term employment (i.e., more than 30 days) as a childcare provider in the employer’s home.
This engagement is subject to the terms and conditions specified herein.
2. NW Nannies LLC Placement Duties
NW Nannies LLC shall undertake to find an in-home childcare provider suitable for employment by employer, and to this end shall:
(a) Screen all nanny candidates by checking references, police records, and otherwise investigating candidates’ backgrounds to the extent NW Nannies LLC deems suitable under the circumstances.
(b) Put employer in contact with one or more candidates for in-home childcare provider employment when NW Nannies LLC believes such candidates satisfy employer’s expectations.
3. NW Nannies LLC Fee
In consideration of NW Nannies LLC’s placement activities, employer agrees to pay a placement fee in full upon employment of a NW Nannies LLC–placed childcare provider.

4. Replacement / Refund of Fee
If the employer terminates the employment of a NW Nannies LLC–placed childcare provider within thirty (30) calendar days of the start of employment, or the childcare provider leaves within that period:
- NW Nannies LLC will first make every effort to replace the childcare provider.
- If a satisfactory replacement cannot be found, or the family declines a replacement, a pro rata refund will be issued.
Refund Calculation:
The placement fee accrues evenly over the first 30 days of employment. After thirty (30) days, the fee is deemed fully earned, and no refund shall be due.
5. Employer’s Covenants
(a) Employment Covenant
Employer covenants and agrees that upon employing any candidate introduced by NW Nannies LLC, employer shall pay:
- The applicable placement fee (if employment exceeds 30 days), or
- The difference between the temporary service fee and the compensation paid to the provider (if employment is 30 days or less).
This covenant shall remain in effect for one (1) year after the date of this agreement, regardless of any refund issued.
(b) Legal Compliance and Indemnification
Employer agrees to:
- Pay all employment and income taxes required by law.
- Provide worker’s compensation insurance as required.
- Indemnify, defend, and hold harmless NW Nannies LLC from all losses, taxes, damages, or legal costs (including attorney fees) resulting from:
- Employer’s failure to comply with employment or tax obligations.
- Any claim for injury for which worker’s compensation insurance is available, regardless of whether such insurance was obtained.
6. Limitation on Liability
Employer acknowledges that employment of a NW Nannies LLC–placed childcare provider is based on employer’s own interview and judgment.
NW Nannies LLC shall not be liable for any injury, damage, or loss arising from such employment, provided NW Nannies LLC acted in good faith and was not guilty of fraud or gross negligence.
7. Miscellaneous
(a) Notice
All notices under this agreement shall be deemed given:
- On the date of personal delivery, or
- 48 hours after deposit in U.S. mail, postage prepaid, return receipt requested.

Either party may designate a new address by written notice in compliance with this section.
(b) Attorney Fees
In the event of litigation to declare or enforce any provision of this agreement, the prevailing party shall be entitled to recover reasonable attorney fees and court costs, including appeals.
8. Registration Acknowledgment
By registering with NW Nannies LLC, employer acknowledges and agrees:
- To pay the applicable permanent placement fee upon hiring a nanny referred by the agency.
- That employer is responsible for all referral fees and any collection costs or attorney fees resulting from nonpayment.
- That any returned payment will incur an additional $50.00 fee.
9. Governing Law and Venue
This agreement shall be construed and enforced in accordance with the laws of the State of Oregon and/or the State of Washington.
All actions to enforce or interpret this agreement—whether by court action or arbitration—shall be maintained in Multnomah County, Oregon.
